OpenTable, Inc. Announces Strategic Acquisition of RSViP and ProHost Software Solutions

February 13, 2001
SAN FRANCISCO, Calif., (February 13, 2001) — OpenTable, Inc. (www.opentable.com) announced today the acquisition of ProHost and RSViP software solutions from Restaurant Solutions Group (RSG) — formerly Rock Systems — a division of Ez2get.com, Inc. Rock Systems pioneered operational-efficiency software for the restaurant industry with the introduction of ProHost table and seating management solutions in 1992 and RSViP reservation management solutions in 1996. OpenTable is the leading supplier of Internet-enabled customer relationship management (CRM), marketing and reservations solutions to the restaurant industry with over 1,100 installations.

The acquisition leverages functional synergies in the two companies’ product sets that will enable OpenTable to immediately meet increased industry demand for the features inherent in a combined product offering. The acquisition also broadens OpenTable’s foothold in market segments beyond its core fine-dining customer base including casual dining restaurants, casinos, and large resorts.

“The acquisition of Rock Systems’ industry-leading software solutions enables us to deliver an end-to-end solution that helps our restaurant and hotel partners drive revenues in ways never before possible,” said Jeff Edwards, OpenTable’s CEO. “We look forward to delivering the benefits of real-time online reservations, customer database marketing and yield management solutions to customers of Rock Systems. We are also delighted to provide OpenTable’s existing partners with the increased efficiencies that result from tight integration with point-of-sale systems — as well as the superior table management functionalities that Rock Systems’ products provide.”

The integrated OpenTable/Rock Systems solutions will bring restaurants a suite of Internet-enabled software tools that was previously unavailable from any single company. The combined offerings will include:

  • Centralized reservations capabilities to enable resorts, hotels and casinos to manage reservations and customer flow and share information from a number of locations within a property.

  • Automated wait list, server/section assignment and table management capabilities to increase table turns and help improve operating margins.

  • Integration with point of sale (POS) solutions to enhance communication between the front and back of the house.

  • Distribution of booking capabilities across the Internet via www.opentable.com and the company’s online partners.

  • Tools to easily implement sophisticated yield management for significant reductions in unused inventory.

  • Sophisticated reporting functions for improved operational forecasting.

  • Powerful database solutions to help restaurants enhance guest relationships and promote loyalty.

  • The ability to target market to customers based on dining preferences and histories.
